Terms of Use
The rules for using chefxacademy.com. Our paid services are covered by separate written agreements.
1. About these terms
These Terms of Use ("Terms") apply to your use of chefxacademy.com and its pages (the "Site"), run by ChefX Academy / ChefX Consulting ("ChefX", "we", "us" or "our"), 1823 Brunson Way, London, Ontario N6K 0H1, Canada ([Legal business name, e.g. "ChefX Consulting Inc." — confirm]). By using the Site, you agree to these Terms. If you don't agree, please don't use the Site.
Our Privacy Policy explains how we handle personal information and forms part of these Terms.
2. Using the Site
You may use the Site for lawful purposes, to learn about our services and to contact us. You agree not to:
- send false information, spam or unlawful content through our forms;
- try to gain unauthorized access to the Site, its servers or connected systems, or interfere with how it works;
- scrape, copy or harvest content or contact details from the Site using automated tools; or
- use the Site in any way that breaks applicable laws.
We may change, suspend or remove any part of the Site at any time.
3. Information on the Site; no guarantee of results
The Site gives general information about our marketing, consulting, start-a-restaurant, catering, franchising, training and related services. It is not professional legal, financial, tax or accounting advice. Please get advice that fits your situation before making business decisions.
Results are not guaranteed. Any examples, projections or past client results on the Site, such as savings on food or labour cost, launch timelines, testimonials and case studies, are illustrative only and are not a promise of any particular revenue or outcome. They are not typical results for every business. Your results depend on many factors outside our control, including your location, menu, prices, staff, competition, ad budget, market conditions and how closely recommendations are followed.
We work to keep the Site accurate and current, but it may contain errors or out-of-date information, and we may correct it at any time.
4. Services, quotes and fees
- Separate agreements: our consulting, marketing, receptionist, training, catering and franchising services are provided under a separate written proposal, agreement or enrolment terms. If those conflict with these Terms, the written agreement takes priority for that service.
- Prices and quotes: package prices shown on the Site (for example, 2% of monthly revenue or 10% of total investment) are a guide and may change. Your price is the one in your written quote or agreement. Unless stated otherwise, prices are in [Confirm currency, e.g. Canadian dollars (CAD)] and exclude applicable taxes such as HST.
- Third-party costs: ad spend, SMS/email sending costs, influencers, photographers, lawyers, loan brokers and other third-party costs are extra unless your agreement says otherwise.
- Free calls and demos are offered without obligation and do not create a client relationship.
- Marketing to your customers: if we send emails or texts to your customers on your behalf, you confirm you have the consent required by Canada's Anti-Spam Legislation and privacy laws.
5. Consumer rights (Ontario)
Most of our services are offered to businesses. If you are a consumer, as defined in Ontario's Consumer Protection Act, 2002 (for example, an individual buying a course for personal purposes), you have rights under that Act that these Terms cannot take away, including rights relating to cancellation, refunds, written agreements and disclosure. Nothing in these Terms limits those rights, and any part of these Terms that would do so does not apply to you to that extent.
6. Intellectual property
The Site and its content, including text, graphics, logos, photos, videos, page designs, the ChefX name and our roadmaps and checklists, belong to ChefX or our licensors and are protected by copyright, trademark and other laws. You may view and print pages for your own, non-commercial use. You may not copy, reproduce, republish, sell or create derivative works from the content without our written permission. Ownership of work we create for clients is set out in each client's agreement.
7. Third-party links and services
The Site links to services we don't control, such as WhatsApp, Facebook, Instagram, Google Maps, ChefX Realty and our booking provider. We aren't responsible for their content, policies or practices, and your use of them is governed by their own terms.
8. Disclaimer and limitation of liability
To the extent permitted by law, the Site and its content are provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose and uninterrupted or error-free operation.
To the extent permitted by law, ChefX and its owners, staff and contractors are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from your use of or inability to use the Site. Our total liability for any claim relating to the Site is limited to [Confirm cap, e.g. CAD $100]. This section does not limit liability that cannot be limited under applicable law, including your rights as a consumer. Liability relating to paid services is governed by the agreement for those services.
9. Indemnity
You agree to indemnify and hold harmless ChefX and its owners, staff and contractors from claims, losses and costs (including reasonable legal fees) arising from your misuse of the Site or your breach of these Terms, to the extent permitted by law. This section does not apply to consumers where the law does not allow it.
10. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. Subject to any rights you have as a consumer to bring proceedings elsewhere, you agree that the courts of Ontario sitting in London, Ontario, have jurisdiction over any dispute relating to the Site or these Terms. We encourage you to contact us first so we can try to resolve any concern informally.
11. Accessibility
We want the Site to be usable by everyone, in the spirit of the Accessibility for Ontarians with Disabilities Act (AODA). If you have trouble accessing any part of the Site, or need information in another format, email info@chefxacademy.com and we'll help.
12. Changes and general terms
We may update these Terms from time to time by posting the new version on this page with a new "Last updated" date. Your continued use of the Site after a change means you accept the updated Terms. If any part of these Terms is found invalid or unenforceable, the rest stays in effect. Our not enforcing a part of these Terms is not a waiver of it.
